About Us

Magnetic North Acquisition Corporation, trading as “MNC” and “MNC.PR.A” on the TSX Venture Exchange, is a Toronto and Calgary-based investment company that builds value by applying capital and management. Historically, Venture Capital and Private Equity firms were very profitable when they were focused on business management and they applied capital and experienced people. Over time, the model evolved, becoming more about money management with little or no business management, and as a result produce average returns.  Magnetic North is focused on historical VC/PE models and is only focusing on select deals, applying capital and expertise to build value for our investors.

Our investment criteria include a review of market characteristics, risks, strategy, competition, customer focus, deal quality and entrepreneur, product and financial characteristics.

We target companies that are near positive cash flow, have the ability to generate sustainable cash flow; and where improvements in structure or operations can create a positive impact on value. Management

Andrew Osis

Co-Chief Executive Officer; Director

Mr. Osis has a twenty-year career working in investment banking and commercial operations having managed teams with up to one hundred people. Over the length of his career Mr. Osis has been involved in more than $25 billion in transactions. Mr. Osis formerly held positions as Vice President, Global Banking with RBC Dominion Securities Inc., Canada’s largest investment banking firm, as well as positions with Peters & Company and Newcrest Capital where he focused on mergers, acquisitions, and equity and debt financings. Since leaving the investment banking business, Mr. Osis has served on numerous Boards of Directors, and as CEO and CFO of public and private organizations, covering technology, media and entertainment, energy and oilfield services, manufacturing, life sciences, and other sectors.

Kevin Spall

Co-Chief Executive Officer; Director

Mr. Spall has eighteen years of financial services and alternative energy experience in the areas of corporate finance, mergers and acquisitions, and business development. From 2000 to 2010, Mr. Spall worked at: Yorkton Securities (now Macquarie Capital Markets Canada Ltd.), Versant Partners Inc. (now Cantor Fitzgerald Canada Corp.), where he was the Head of Investment Banking, and Blackmont Capital Inc., where he was the Head of Diversified Investment Banking. Since 2010, Mr. Spall has focused on several opportunities primarily in the alternative energy industry, including the successful development of a 50MW solar farm in Africa. Currently, Mr. Spall sits on the Board of Directors of several private companies.

Lance McIntosh

Chief Financial Officer

  • Mr. McIntosh has over 45 years of experience in corporate financial reporting, audit and financial management in various industries including asset management, technology, pharmaceutical, merchant banking, and corporate finance.
  • Mr. McIntosh has specific expertise in financial operations management, financial administration and control, M&A, and both project and acquisition financing. Mr. McIntosh has held senior financial positions with a number of significant private and public corporations. He has, among other things, overseen the financial operations, the corporate development function, and the ‘going public’ process for two major Canadian corporations.
  • Over 10 years ending in 2012, working with other professionals, he developed and managed from start-up a group of unique business entities/operations and the corporate infrastructure required to support the entire diverse group.
  • Lance began his business career as a student-in-accounts with Price Waterhouse & Co. and received his designation as a chartered accountant in 1977. He is currently a member in good standing of the Institute of Chartered Professional Accountants of Ontario and of Canada. Mr. McIntosh graduated cum laude, receiving his H.B.A. from Trinity College, University of Toronto.

Stephen McCormick

Vice President Capital Markets

Mr. McCormick is a senior executive with over twenty years of experience across various industry sectors, including investment management, telecom and information technology. Mr. McCormick has formerly held positions with BMO Nesbitt Burns providing integrated wealth management solutions for high net worth clients, as well as, working on corporate structures for private businesses. His proven track record and expertise in finance, marketing, business transformation and business development is invaluable to Magnetic North and its shareholders.

Ian Wild

Chairman of the Board

Mr. Wild is the former Executive VP, ATB Corporate Financial Services as well as the past director of AltaCorp Capital (now ATB Capital). He brings over thirty-five years in banking commencing in the UK with National Westminster Bank in their International Division working in trade finance, corporate finance and global risk management. Immigrating to Canada in 1982, Mr. Wild worked for Continental Bank of Canada (now HSBC) and then Royal Bank of Canada in the Special Loans Group, Oil & Gas Banking, Corporate Banking and Investment Banking as a Vice President in RBCDS. He was the past Chairman of the Financial Advisory Committee for Calgary Economic Development and is Chairman of the Canadian Global Affairs Institute (a Geopolitical Think Tank).

Trent Larson

Director

Mr. Larson brings over twenty-five years of experience with a proven track record of developing and implementing growth strategies to improve performance and profitability in telecom, media, technology, manufacturing, solar, healthcare, retail, energy and financial services companies. He is a recognized digital pioneer, author of various research papers and has been an advisor to the European Commission on digital policy. Mr. Larson has served as CEO and Managing Director with leading international organizations and benefits from an extensive global network.Currently, Mr. Larson serves as board member and an advisor to several organizations and is an active member of the technology start-up investment community. He holds a Bachelor’s degree from DeVry University in California and an MBA from the University of London.

Jeff Davison

Director

Jeff Davison is currently Chief Executive Officer of the Prostate Cancer Centre. Having spent over twenty years with publicly traded companies in the energy, technology and creative services sectors, Jeff was elected to Calgary City Council 2017 – 2021 to bring back a pro-business vision to Calgary. Jeff is currently on the University of Calgary Board of Governors and Senate, and is a director of Transition Opportunities Corp. TSX.V: TOP.P. Jeff previously served on the Board of Directors for Calgary Municipal Lan Corporation, Calgary Economic Development, and the Opportunity Calgary Investment Fund and developed the Calgary city council approved economic strategy and the $200 million downtown recovery plan.

Shahid Qureshi

Director

Shahid is a certified Board Director from ICD Canada with over 25 years of experience in finance, cyber security, governance, and risk management. Shahid is currently the Chief Executive Officer of Leverage Global Inc. and holds senior governance roles with the Federal Government. Shahid was a risk advisory leader with KPMG Canada and helped Fortune 500 companies with optimizing their strategic, technological, financial, operational, and transformational goals.  Shahid has more than two decades of international experience as a Board Director and sits on audit, risk, investment, and governance committees across the globe. Shahid has extensive international experience as a business leader and has helped organizations succeed in Canada, Asia, Middle East, Far East, Europe, United States of America, United Kingdom, Caribbean, and Africa. Shahid is a Chartered Professional Accountant, a fellow of Chartered Certified Accountants, a certified Internal Auditor, a certified Cost and Management Accountant, a Certified Information Systems Auditor and holds a master’s degree in economics. Shahid’s recent leadership roles include being the Chair of ACCA Canada, Chair of Calgary Parking Authority, Board Director of FFCA, Vice Chair of CCIS, Board of Governors of IIA Calgary, Audit Committee member of City of Calgary, Board Director of EASC, Board Chair of Calgary Chapter of CPA’s, President of ISACA Calgary, and member Advisory Committee of Auditing & Assurance Standards Board.

John Blair

CEO/CTSO/Inventor, CXTL Recycling Canada Corp.

John Blair has a broad range of experience in entrepreneurialism across the globe. His experience covers the spectrum from international home furnishings manufacturing to oil & gas technology development and manufacturing. He has a strong inventive technical background, which includes successfully guiding projects from concept and development to developed market stages. John has a proven track record of expanding resources by utilizing innovative engineering and management concepts, building companies from concept to 9,000 plus employees. He emphasises risk management by developing and managing technical teams with a clear focus on creating value for shareholders. John is the Inventor of the core platform technologies of CXTL Recycling Canada Corp., the CEO/Founder of Cirque Innovations Ltd., He holds a BSc. in Mechanical Engineering, graduate studies in Magnetic Fluid Dynamics & Zero Gravity Propulsion, and an Executive-MBA from the University of North Carolina. John is a lifelong Tar Heel.
